Terms & Conditions and Refund Policy

Welcome to Prabhaav, operated by NGOExperts. By accessing, registering on, or using our website, dashboard, and services, you agree to be legally bound by these Terms & Conditions, Privacy Policy, and Refund Policy. If you do not agree to these terms, you must cease use of the platform immediately.

• Technology Intermediary: Prabhaav is a digital Corporate Social Responsibility (CSR) platform that connects corporate entities seeking to deploy CSR funds with verified non-governmental organisations (NGOs).
• No Fiduciary or Financial Role: Prabhaav and NGOExperts are not banks, financial institutions, escrow agents, or legal representatives of any user. We do not take custody of, guarantee, or insure corporate funds, nor do we broker, endorse, or guarantee grant agreements between parties.

• Account Registration: Users must provide accurate, current, and complete information during registration, including legal entity details, CIN, PAN, 12A, 80G, and CSR-1 registration certificates where applicable.
• Verification Disclaimer: While Prabhaav performs initial documentary and automated checks (such as MCA status and penny-drop verifications), these checks are administrative aids. They do not constitute an explicit warranty or certification of an organisation’s absolute legitimacy, financial stability, or ongoing legal compliance.

Users agree that they will:

• Comply with all applicable provisions of the Companies Act, 2013 (including Section 135 and Schedule VII), Income Tax Act, and other applicable laws of India.
• Refrain from uploading forged, misleading, or fraudulent documents.
• Maintain the confidentiality of their account credentials and OTP verifications.

• Strict No-Refund Policy: All fees, subscription charges, platform access charges, service fees, or transactions processed through or in connection with the Prabhaav platform are strictly non-refundable.
• No Refunds for Grants or Contributions: Any CSR funds, milestone tranches, or financial grants transferred by corporate entities to NGOs (or vice versa) via or following connections made on the platform are final. Prabhaav/NGOExperts does not process cancellations, chargebacks, or refunds for any monies committed or disbursed between parties.
• Disputes: Any financial or grant-related disputes must be resolved directly between the corporate funder and the respective NGO. Prabhaav shall not entertain any refund requests or financial compensation claims under any circumstances.

• Zero Liability for Funding & Transactions: NGOExperts, Prabhaav, and its team bear zero liability for any financial losses, failed disbursements, delayed grants, or budgetary disputes arising between Companies and NGOs.
• No Liability for Fraud or Misrepresentation: The platform assumes no liability whatsoever for any fraudulent behavior, misappropriation of funds, misrepresentation of credentials, project non-delivery, or illegal acts committed by any user or third party on or through the platform.

You agree to defend, indemnify, and hold harmless NGOExperts, Prabhaav, and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

• Your use of and access to the Prabhaav platform;
• Your violation of any term of these Terms & Conditions or Privacy Policy;
• Your violation of any third-party right, including without limitation any copyright, property, corporate, or privacy right;
• Any claim or financial dispute that any grant, funding arrangement, project execution, or tax non-compliance caused damage to a third party; or
• Any fraudulent activity, misrepresentation, or statutory non-compliance originating from your organisation’s account.

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any legal action or dispute relating to these terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi / Noida, India.
